Shareholders are advised that ELB has entered into negotiations with B&W regarding a proposed Scheme of
Arrangement in terms of section 114 of the Companies Act, 2008 (Act 71 of 2008), as amended, which if
successfully concluded, may have a material effect on the price of either company’s securities.

Accordingly, shareholders are advised to exercise caution when dealing in either company’s securities until a
further announcement is made.
