RESULTS OF GENERAL MEETING
Shareholders are advised that at the general meeting of Nedbank Group held
today, all the ordinary and special resolutions were approved by shareholders
present in person or represented by proxy as follows:
1. Ordinary resolution 1 regarding the election of Dr MA Matooane as an
independent non-executive director of Nedbank Group with a 99,94%
majority;
2. Ordinary resolution 2 regarding the election of Mr BA Dames as an
independent non-executive director of Nedbank Group with a 99,94%
majority;
3. Special resolution number 1 regarding the creation of 1 000 000 new
cumulative redeemable non-participating preference shares in Nedbank
Group, to be issued for general funding purposes, with a 98,55% majority;
4. Special resolution number 2 regarding amendments to the memorandum
of incorporation of Nedbank Group, to give effect to the creation of the
new preference shares, with a 98,56% majority; and
5. Special resolution number 3 regarding the specific repurchase of
14 715 049 Nedbank Group ordinary shares at a price of R229,65 per
share with a 100% majority.
