NOTIFICATION OF CHANGE IN EXTERNAL AUDITOR

 Deloitte & Touche (“Deloitte”) has served as the Company’s external auditor since its
 appointment on 11 May 2022. Deloitte is also the external auditor of Sun International Limited
 (“SUN”).

 Subsequent to the Company's appointment of Deloitte as its external auditor, SUN has
 acquired a significant interest in GPI by way of the acquisition of further shares in GPI, which
 has resulted in SUN holding a stake of approximately 24% of the GPI shares in issue (excluding
 treasury shares).

 Having regard to SUN's significant shareholding in GPI, the Company and Deloitte recognise
 that a potential conflict of interest exists for Deloitte, whether perceived or otherwise, as a result
 of Deloitte being the appointed external auditor of both the Company and SUN. In an effort to
 mitigate any such potential conflict of interest, whether actual or perceived, the Company and
 Deloitte have determined that it would be appropriate in the circumstances for Deloitte's
 appointment as external auditor to the Company to be terminated. Deloitte and the Company
 have therefore agreed to terminate Deloitte's appointment as external auditor to GPI by mutual
 agreement with immediate effect.

 In order to fill the vacancy of the external auditor resulting from the termination of Deloitte's
 appointment, the Company’s audit and risk committee has recommended, and its board has
 resolved, in terms of and as required by section 91(2)(a) of the Companies Act, No. 71 of 2008,
 to appoint Moore Cape Town Inc. (“Moore”) as the new external auditor of GPI for the financial
 year ending 30 June 2023. Alan Billson will act as the designated audit partner.

 GPI shareholders will be requested at the AGM to appoint Moore as the Company’s auditor
 for the 2024 financial year.
