NOTICE OF CHANGES TO TRANSACTION CAPITAL LIMITED’S BOARD OF DIRECTORS AND SUB-
COMMITTEES

In accordance with paragraph 3.59 of the JSE Limited Listings Requirements, the Company’s board of
directors (“the Board”) is pleased to announce the appointment of Mr Roberto Rossi as an executive
director of the Company with effect from 30 September 2021. Mr Rossi will continue as a member of
the Social and Ethics Committee and the Nominations Committee, and will resign from the
Remuneration Committee.

Mr Rossi is a founding member of Transaction Capital, who partnered with Mr Jonathan Jawno and
Mr Michael Mendelowitz to acquire and grow the group of companies that in 2007 became the
foundation of Transaction Capital. Since being a non-executive director since listing of the Company,
with an ongoing consultancy relationship with the Group, Mr Rossi has been an integral and invaluable
contributor to Company.

Mr Rossi’s appointment as an executive director reflects his continued and increased engagement with
group operations and strategy and is more appropriate than him continuing to operate under a
consulting agreement. Following this appointment, the board will consist of 9 non-executive directors
and 6 executive directors

The Board is also pleased to announce that Ms Sharon Wapnick was appointed as member of the
Remunerations Committee with effect from 30 September 2021 and is already a sitting member of the
Nominations Committee. Ms Wapnick joined the Company as an independent non-executive director
on 12 March 2020 and has brought invaluable legal skills to the Board.
