CHANGES TO THE COMPOSITION OF THE SOCIAL AND ETHICS COMMITTEE AND
CHANGES TO THE BOARD OF DIRECTORS OF A MAJOR SUBSIDIARY

CHANGES TO THE COMPOSITION OF THE SOCIAL AND ETHICS COMMITTEE
In accordance with paragraph 3.59(c) of the Listings Requirements
of the JSE Limited, shareholders are hereby advised of the
following changes to the Company’s social and ethics committee:

  • Mr Stephen Roper, currently an independent non-executive
    director of Afdawn, has been appointed as a member of the
    committee with immediate effect;
  • Mr Keet van Zyl, currently an executive director of Afdawn,
    has been appointed as a member of the committee with
    immediate effect;
  • Ms Andrea Bohmert, currently an executive director of Afdawn,
    has been appointed as a member of the committee with
    immediate effect; and
  • Mr Jacques Groenewald, currently the chief executive director
    of Afdawn, has resigned as a member of the committee with
    immediate effect.

CHANGES TO THE BOARD OF DIRECTORS OF A MAJOR SUBSIDIARY
In compliance with paragraph 3.59(b) of the JSE Listings
Requirements, Afdawn hereby advises shareholders that Mr Eddie
Stoop and Mr Andy Turner have resigned from the board of directors
of Elite Group (Proprietary) Limited (“Elite”), a major subsidiary
of Afdawn, with immediate effect.

The board of directors of Elite now consists of Mr Jacques
Groenewald as Executive Chairman, Mr Dahrius Breedt as Acting
Chief Executive Officer, Ms Hester Hickey and Mr Eben van Heerden.
