CHANGE IN AUDITOR


In terms of paragraph 3.78 of the JSE Limited Listings Requirements, shareholders are
advised that, following the conclusion of a tender process, the Audit committee has selected,
and   the    Board    of   Directors   has    endorsed,    the   proposed     appointment     of
PricewaterhouseCoopers Incorporated (“PwC”) as the auditors of Grindrod for the financial
year ending 31 December 2024.


The change in auditors was initiated by Grindrod in terms of Mandatory Audit Firm Rotation,
whereby an audit firm may not serve as the appointed auditor of a public interest entity for
more than ten consecutive financial years.


The proposed appointment of PwC will be put to shareholders as an indicative non-binding
resolution at the 2023 annual general meeting and thereafter will be recommended to
shareholders at Grindrod’s 2024 annual general meeting.


Deloitte & Touche (“Deloitte”) will continue to audit the Company in respect of the financial
year ending 31 December 2023 and upon completion will be replaced by PwC pending the
aforementioned shareholder approval.
