COMPLETION OF TRANSACTION RELATING TO RCS
Shareholders of TFG and Standard Bank Group (“Shareholders”) are referred to the
announcement dated 10 April 2014 in terms of which it was advised that TFG and The Standard
Bank of South Africa Limited, a wholly owned subsidiary of Standard Bank Group, RCS
Investment Holdings Limited (“RCS”) and BNP Paribas Personal Finance S.A. (“BNPPF”) (the
European leader in personal loans and a subsidiary of BNP Paribas S.A.) had entered into
agreements which would result in BNPPF becoming the 100% shareholder of RCS (“Proposed
Transaction”).
Shareholders are advised that the Proposed Transaction is now unconditional in accordance
with its terms and is in the process of being implemented accordingly. The Closing Date of the
transaction is 6 August 2014, with the estimated proceeds being R2,64 billion.
TFG shareholders are referred to the announcement released simultaneously with this
announcement on the Securities Exchange News Service of the JSE Limited today.
