NOTIFICATION IN TERMS OF SECTION 122(3) OF THE COMPANIES ACT AND
PARAGRAPH 3.83(b) OF THE JSE LIMITED LISTINGS REQUIREMENTS
In accordance with section 122(3)(b) of the Companies Act, No. 71 of 2008 and section 3.83(b)
of the JSE Limited Listings Requirements, shareholders are hereby advised that the Company
has received formal notification that BB Investment Company Proprietary Limited ("BB
Investment"), a wholly owned subsidiary of The Bidvest Group Limited, has acquired an interest
in the ordinary shares of Adcock, such that the total interest in the ordinary shares of the
Company held by BB Investment now amounts to 42.60% of the total issued ordinary shares of
Adcock, excluding the class A and B ordinary voting shares, and treasury shares.
The total of all beneficial interests in the Company’s voting shares now owned by BB Investment
is 37.00%, including the class A and B ordinary voting shares and excluding the treasury shares.
As required in terms of section 122(3)(a) of the Act, the Company has filed the required notice
with the Takeover Regulation Panel.
