DISCLOSURE OF BENEFICIAL INTEREST IN SECURITIES


In compliance with section 122(3)(b) of the Companies Act, No. 71 of 2008 (as amended) (“the
Companies Act”) and paragraph 3.83 of the JSE Limited Listings Requirements, shareholders are
advised that the Company has received formal notification in accordance with section 122(1) of the
Companies Act, that 36ONE Proprietary Limited (“36ONE”) has acquired a beneficial interest in the
ordinary shares of the Company, such that its entire beneficial interest in the ordinary shares of the
Company now amounts to 10.05% of the total number of Grindrod ordinary shares in issue.

The board of directors of Grindrod (“Board”) accepts responsibility for the information contained in this
announcement and confirms that, to the best of their knowledge and belief, such information is true,
and that this announcement does not omit anything likely to affect the importance of such information.
The Board has relied on the accuracy of the information contained in the notification received from
36ONE in making this statement.

As required by section 122(3)(a) of the Companies Act, the Company has filed the required notices with
the Takeover Regulation Panel.
