DISCLOSURE OF CHANGE IN INTEREST IN SECURITIES
Shareholders are referred to the SENS announcement published on 1 December 2022
wherein they were informed that Pulsent OH GP Proprietary Limited, in its capacity as the
general partner of the PBT Direct GP Partnership en commandite, the latter in its capacity as
the general partner of the Intrepid PBT Direct Partnership II en commandite and of the PBT
Direct Partnership en commandite, a majority black-owned and managed investor in PBT
Group (“Pulsent OH”), entered into agreements to increase its shareholding in PBT Group by
a total of 3 000 000 ordinary shares in two tranches. All conditions precedent having been
fulfilled, tranche 2 of this agreement, in respect of 900 000 PBT shares, has now been
implemented.
In accordance with section 122(3)(b) of the Companies Act, Act 71 of 2008 (the “Act”), as
amended, and paragraph 3.83(b) of the JSE Limited Listings Requirements, shareholders are
hereby advised that PBT Group has received formal notification, in terms of section 122(1)(b)
of the Act, that Pulsent OH has increased its beneficial interest in the ordinary shares of the
Company, such that its interest held has increased from 9.6% to 10.5% of the total issued
share capital of the Company.
The board of PBT Group (“the Board”) accepts responsibility for the information contained in
