Invitation to Shareholders: the Company’s Remuneration Policy and Long Term Incentive
Plan
LONDON, 1 SEPTEMBER 2022
At the Company’s AGM on 29 June 2022, more than 25% (27.14%) of the votes were cast against
non-binding advisory vote number 1, to endorse the Company’s Remuneration Policy. The non-
binding advisory vote number 2, to endorse the Company’s Remuneration Implementation Report,
was carried.
In keeping with the recommendations of the King IV Report on Corporate Governance for South
Africa and paragraph 3.84(k) of the JSE Listings Requirements, shareholders are hereby invited to
raise their concerns and/or recommendations on the Company’s Remuneration Policy (as set out
within the Remuneration Committee Report in the Company’s Annual Report for the year ending
31 December 2021), by means of a Microsoft Teams conference call with the Company’s
Remuneration Committee, to be held at 10am BST on Tuesday, 13 September 2022. The above-
mentioned call will also be an opportunity for shareholders to express views on the Company’s
proposed new Long Term Incentive Plan (“LTIP”). A document setting out the Company’s
detailed proposals with respect the LTIP will be posted on the Company’s website at
https://www.gemfieldsgroup.com/changes-to-the-companys-remuneration-policy/ shortly.
Shareholders who wish to participate in the conference are requested to contact the Company
Secretary, confirming the relevant shareholder’s name, address and Shareholder Reference
