                                  CHANGE OF DIRECTORATE

In terms of section 3.59 of the Listings Requirements of the JSE Limited, shareholders are hereby
advised of the appointment of Deepak Malik as an independent non-executive director of Grindrod,
and member of the Audit committee, with effect from 1 December 2021.

Deepak has extensive experience and knowledge in the investment and financial services sector in
Africa and has been instrumental in promoting investment in Southern Africa. He is the CEO of Arise
and was previously the Head of the Financial Institutions Department of Norfund. Deepak also
served as CEO of the Development Bank of Zambia, held senior executive positions in Zambia
Consolidated Copper Mines Limited and was an Audit Manager at KPMG. He holds a Bachelor of
Commerce (Honours) degree and is a Chartered Accountant.

The Board takes great pleasure in extending a warm welcome to Deepak and looks forward to his
valuable contribution and the benefit of his years of experience in unlocking economic potential in
Africa.
