DELAY OF THE POSTING OF THE DISPOSAL CIRCULAR

1. INTRODUCTION

   Shareholders of THL ("THL Shareholders") are referred to announcement dated 15 April 2020, relating
   to the receipt of voting undertakings in relation to the proposed disposal of the Tongaat Hulett Starch
   division (“the Disposal”), and extension of the period allowed for the posting of the Disposal circular (the
   Circular”).

   The COVID-19 global pandemic has resulted in significant global and local financial market volatility and
   uncertainty. This impacts the manner in which traditional shareholder meetings are held. In line with
   these measures the Board has, in accordance with the Company’s MOI, resolved to hold the General
   Meeting (“General Meeting”) electronically.

   In this regard, the posting of the Circular is affected, in that certain of the THL Shareholders have not
   elected to receive circulars or other means of communication electronically, which then requires that the
   Circular be posted to them.

   THL has received approval from the JSE Limited for an extension to the posting date, and is currently
   in the process of obtaining a further extension to the posting date from the Takeover Regulation Panel.

   Subject to the extension requested above, THL anticipates that the Circular, incorporating a notice
   convening a General Meeting of THL Shareholders at which THL Shareholders will be requested to vote
   on the relevant resolutions, will be distributed to THL Shareholders no later than the end of May 2020.

   The board of directors of the Company, individually and collectively accepts full responsibility for the
