ANNUAL COMPLIANCE REPORT AND UPDATE ON DISPOSAL OF IKEJA CITY MALL
NOTICE OF ANNUAL GENERAL MEETING
Shareholders and noteholders are advised that a notice of the annual general meeting of Hyprop shareholders
(“AGM”) was dispatched on, Wednesday, 27 October 2021. The notice of the AGM is available on the
Company’s website, https://www.hyprop.co.za/reporting-suite.php
The AGM will be held by way of electronic participation in accordance with the provisions of section 63(2)
of the Companies Act 71 of 2008 and the JSE Listings Requirements as read with the Company’s
memorandum of incorporation at 11:00 on Friday, 26 November 2021. The last day to trade in order to be
eligible to participate in and vote at the AGM is Tuesday, 16 November 2021 and the record date for voting
purposes is Friday, 19 November 2021.
NO CHANGE STATEMENT
Shareholders are further advised that Hyprop’s integrated annual report, including the group audited annual
financial statements for the financial year ended 30 June 2021 (on which the auditors expressed an unmodified
audit opinion) is available on the Company’s website, https://www.hyprop.co.za/reporting-suite.php, and contain
no changes from the summarised consolidated results for the year ended 30 June 2021, released on SENS on
15 September 2021.
BROAD-BASED BLACK ECONOMIC EMPOWERMENT ANNUAL COMPLIANCE REPORT
Shareholders are hereby notified that the Company’s B-BBEE rating has improved to Level 6 and, in
accordance with the JSE Listings Requirements, the Company’s annual compliance report, prepared in terms
of section 13G(2) of the Broad-Based Black Economic Empowerment Act 53 of 2003 read with the Broad-
Based Black Economic Empowerment Amendment Act 46 of 2013, is available on the Company’s website:

UPDATE ON DISPOSAL OF IKEJA CITY MALL
Shareholders are referred to the announcements released on SENS on 9 November 2020 and 3 May 2021
regarding the disposal of Ikeja City Mall in Lagos Nigeria. Shareholders are advised that conclusion of the
transaction continues to be delayed due to a lack of US Dollar liquidity in Nigeria and the longstop date to
implement the transaction has been extended to 31 March 2022. The parties remain committed to the
transaction and are working to find ways to implement it.
