QUARTERLY SUSPENSION UPDATE
Trading in Astoria’s shares on the JSE Limited (“JSE”) is currently suspended until such time as, inter alia, the
requisite spread of public shareholders has been achieved (“the Suspension”).
In terms of paragraph 1.11(c) of the JSE Listings Requirements, the Company is obliged to provide an update to
the market until the Suspension is lifted.
Shareholders are referred to the announcements made on SENS and the SEM in relation to the acquisition by Astoria
of investments in exchange for 100 new Astoria shares to be issued to RACIH. (“the Acquisition”), the last of which
was dated 15 December 2020.
All conditions precedent to the Acquisition, as detailed in the circular dated 1 December 2020 (“Circular”), have
been fulfilled and the Acquisition has become unconditional resulting in the JSE approving the listing of 100 Astoria
shares on 21 December 2020.
Further announcements relating to the Distribution (as defined in the Circular) will be made in due course.
This announcement is issued pursuant to SEM Listing Rules 11.3 and Rule 5(1) of the Securities (Disclosure
Obligations of Reporting Issuers) Rules 2007. The board of directors of Astoria accepts full responsibility for the
