MTN Noteholders (Noteholders) are advised that MTN Group, being the issuer's Guarantor, has
released its financial results for year ended 31 December 2023, on 25 March 2024.
The 2023 MTN Group Annual Financial Statements (2023 MTN Group AFS) are available through the

The 2023 MTN Group AFS include disclosure of a restatement to its financial results for the year ended
31 December 2022 financial results to reflect MTN Nigeria's unrealised foreign exchange losses on
outstanding lease liabilities, a reduction of the lease term for recognised leases and related deferred
tax impacts. Details on the restatements can be found on pages 118 to 119 of the 2023 MTN Group
AFS.
