CHANGES TO THE BOARD

In accordance with paragraph 6.39 of the JSE Limited Debt Listings Requirements, the board of
directors of the Issuer (the "Board") wishes to advise that Mr David Nuyoma has been appointed as
a non-executive director of Bank Windhoek with effect from 13 March 2024. Regulatory approval for
his appointment has been obtained. Furthermore, the appointment was made pursuant to the policy
dealing with the nomination of directors of Bank Windhoek.

On the same date, Mr Thinus Prinsloo retired from the board of Bank Windhoek.

As announced on the Namibian Stock Exchange on 29 February 2024, Mr Nuyoma was appointed
as Group CEO and executive director of Capricorn Group Limited ("Capricorn Group") with effect
from 1 March 2024, while Mr Prinsloo's role on the board of Capricorn Group changed to that of a
non-executive director.

Mr Nuyoma is an experienced and accomplished executive leader with a successful track record as
CEO of the Government Institutions Pension Fund until mid-2023 and before that as CEO of the
Development Bank of Namibia.

The Board welcomes Mr Nuyoma and looks forward to his input and contributions.
