CORRECTION OF MANIFEST ERROR IN PROGRAMME MEMORANDUM

Noteholders are advised that Condition 12.7.2 of the programme memorandum dated 6 December
2022 ("Programme Memorandum") contained a manifest error as to the timing of testing and
disclosure of the financial covenants of Pan African Resources plc ("the Group"), which testing can only
be performed once the audited annual financial results and unaudited interim financial results of the
Group are prepared. Condition 12.7.2 has been amended to align with the timing of the publication of
the Group's audited annual financial statements and unaudited interim financial results, and now
reads as follows:

"12.7.2. The Issuer shall be required to test the Financial Covenants on each Measurement Date, the
results of which will be published via SENS on the same date as the publication of the Pan African
Resources Plc audited annual financial results and unaudited interim financial results on SENS."

The updated Programme Memorandum is available for inspection on the Group's website at
https://www.panafricanresources.com/investors/domestic-medium-term-note-programme/.
