 Force Holdings holds a preference share in Verbicept that is convertible into 50% of the equity in Verbicept. As
such, Force Holdings has the right to 50% of the value of the underlying assets of Verbicept and has therefore
only paid for half of the total deemed value of the Workforce ordinary shares. The deemed price of R1.65 per
Workforce ordinary share is therefore in respect of 21 450 000 Workforce ordinary shares.
