Changes to the Board: Resignation and Appointment of GCFO and Resignation of a Non-Executive Telkom SA SOC Limited (Registration Number 1991/005476/30) JSE Share Code: TKG JSE Bond Code: BITEL ISIN ZAE000044897 ("Telkom" or "the Company") CHANGES TO THE BOARD: RESIGNATION AND APPOINTMENT OF GROUP CHIEF FINANCIAL OFFICER AND RESIGNATION OF A NON-EXECUTIVE DIRECTOR In accordance with paragraph 3.59 of the Listings Requirements of the JSE Limited and paragraph 6.39 of the Debt Listings Requirements, shareholders are advised that the board of Directors of Telkom (the “Board”) is pleased to announce the appointment of Ms Nonkululeko Dlamini as the Group Chief Financial Officer (“CFO”) and an executive director with effect from 1 December 2023. The appointment was made in compliance with Telkom’s nomination policy. Ms Dlamini is a qualified Chartered Accountant (South Africa) and currently the Group CFO at Transnet SOC Ltd. She was previously the CFO at the Industrial Development Corporation of South Africa and Acting CFO at Eskom Holdings SOC Limited (“Eskom”) and has held various other management positions within Eskom. Ms Dlamini has experience serving as a Non-Executive Director on the boards of Kumba Iron Ore Limited and Small Enterprise Finance Agency (SEFA). The above appointment will result in Mr Dirk Reyneke, the incumbent Group CFO, stepping down from the Board, with effect from 30 November 2023 and assuming the role of Chief Capital Projects Officer within the Company, a role that will also oversee the next phase of group-wide ROIC model implementation. In addition, Mr Reyneke will work closely with Ms Dlamini to ensure her seamless transition to the Group CFO role. Furthermore, the Board hereby notifies shareholders of the resignation of Mr Mteto Nyati as a non-executive director with effect from 29 September 2023. His resignation follows recent developments which have resulted in capacity constraints on his side.
