Confirmation of temporary leave of absence of the SANRAL Chief Financial Officer The South African National Roads Agency SOC Limited Incorporated in the Republic of South Africa (Registration number 1998/009584/30) Alpha code: BINRA (“SANRAL” or the “Company”) CONFIRMATION OF TEMPORARY LEAVE OF ABSENCE OF THE SANRAL CHIEF FINANCIAL OFFICER Following various media reports, and in the interests of providing clarity and ensuring transparency, SANRAL advises its debtholders that Ms Inge Mulder (“Ms Mulder”), the Chief Financial Officer (“CFO”) at SANRAL, is currently on temporary leave of absence until further notice, pending internal processes that are currently underway at SANRAL. It should be noted that, in terms of the SANRAL Act, No 7 of 1998, the CFO is not a director of SANRAL. The CFO forms part of the executive management at SANRAL. In addition, the CFO is not the debt officer of SANRAL. In the CFO’s absence, SANRAL has ensured that appropriate measures are in place to ensure business continuity. To this end, Mr Dumisani Maluleke (“Mr Maluleke”) (CA (SA)), who has been the Deputy CFO at SANRAL since February 2014, has been appointed by SANRAL as the acting CFO in Ms Mulder’s absence. Mr Maluleke is performing all the duties and responsibilities for the position in which he has been appointed to act and has the full support and oversight of the Board of Directors of SANRAL and the Chief Executive Officer of SANRAL at all material times. SANRAL does not consider the temporary leave of absence of the CFO to be price sensitive to debtholders. However, should there be any material changes or developments in relation to the CFO that may be of relevance to debtholders, they will be informed accordingly. 7 September 2023 Debt Sponsor Nedbank Corporate and Investment Banking, a division of Nedbank Limited Date: 07-09-2023 02:50:00 Produced by the JSE SENS Department.
