CHANGE TO THE BOARD OF DIRECTORS – RESIGNATION AND APPOINTMENT OF DIRECTORS


In compliance with paragraph 6.39 of the Debt Listings Requirements of the JSE Limited, the board of
directors of SuperDrive (“the Board”) hereby notifies Noteholders of the following changes to the Board with
effect from 19 July 2023:

-    Ms Rishendrie Thanthony has resigned as an independent non-executive director and chairperson of the
     audit committee of SuperDrive following her promotion to Managing Director of TMF Group (“TMF”),
     Qatar.

     The Board thanks Ms Thanthony for her invaluable contribution to SuperDrive during her tenure and
     wishes her well in her future endeavours.

-    Pursuant to SuperDrive’s policy dealing with the nominations of directors:

     o   Mr Nicholas Russell Clarke has been appointed as an independent non-executive director and
         chairperson of the audit committee, replacing Ms Thanthony.

         Mr Clarke holds a B Com Financial Accounting degree and is a member of the Association of
         Chartered Certified Accountants (ACCA Global). Following his tenure as an Audit Supervisor at
         Noland South Africa, Mr Clarke joined TMF in 2015 as the Senior Accountant in the Global Business
         Services department of TMF South Africa.

         In 2017, Mr Clarke was promoted to Capital Markets Services Manager, servicing a portfolio of more
         than 250 SPVs as well as other capital market type products. During this time, Mr Clarke also took
         on the task of developing the fund and loan administration business for TMF South Africa.

         In 2020, his mandate was extended to look after the full Global Entity Management business for South
         Africa, after which he was promoted to a regional role as Head of Capital Markets for Middle East
         and Africa. In 2022, Mr Clarke was appointed as managing director for the country.

         Mr Clarke currently represents TMF on various client boards as an independent non-executive
         director.

     o   Ms Rozanne Kamalie has been appointed as alternative director to Mr Clarke.

         Ms Kamalie is an admitted attorney and conveyancer and holds an LLB degree from the University
         of Western Cape as well as a Compliance Management qualification from the University of Cape
         Town and the Compliance Institute Southern Africa.

         After having completed her articles, Ms Kamalie continued to practice law, managing the civil
         litigation, deceased estates and conveyancing departments at Cecil Kamalie Attorneys until 2014.
         Thereafter, Ms Kamalie joined Barclays Africa Group Limited (now ABSA Bank) as a KYC & AML
         Compliance Officer until 2016, following which she joined Amdec Group as a legal advisor. In
         September 2017, Ms Kamalie joined TMF South Africa as a transaction manager within the Corporate
         Finance division. She has extensive experience in the Capital Markets Services division and in July
         2022, was promoted to CMS- Structure Finance Manager.

    The Board welcomes Mr Clarke and Ms Kamalie and looks forward to their contribution to SuperDrive.
