CHANGE IN DIRECTORATE

In terms of paragraph 6.39 of the JSE Limited Debt Listings Requirements, noteholders are advised of
the resignation due to medical reasons of Mr RN Hutchinson-Keip effective 31 March 2023, as a member
of the Board, Chairman of the Audit and Compliance Committee and member of the Credit and Large
Exposure Committee of Grindrod Financial Holdings Limited and Grindrod Bank Limited.

The Board wishes to thank Mr Hutchinson-Keip for his invaluable contribution during this transitionary
period and wishes him well in his future endeavors.
