Notification of appointment of a director
In compliance with paragraphs 6.39 and 6.40 of the Debt Listings Requirements of the JSE Limited,
the board of directors of Transsec 5 (RF) Limited (“the Board”) hereby notifies the Noteholders of
the resignation of Rishendrie Thanthony and Olivia Ann Van Gisbergen as directors of the
Company with effect from 27th February 2023. The Board hereby confirms that (i) Bongiwe Lynette
Dube and Nicholas Russell Clarke are appointed as directors; and (ii) Rozanne Kamalie and Sara
Deann Olivier are appointed as alternate directors of the Company with effect from 27th February
2023.


Bongiwe has an LLB (Honours). She is a seasoned commercial, contractual, corporate
governance, finance and technology lawyer and negotiator. Bongiwe has held positions at ABSA,
FNB, Primedia and Accenture. She has also interacted with a number of regulatory and industry
bodies such as SARB, ICASA, BASA and OMHSA. Bongiwe joined TMF Corporate Services (South
Africa) (Pty) Ltd (TMF) in 2019 where she holds the position of Internal Legal Counsel. She
currently represents TMF on various client boards as an independent director and chairperson on
these boards.


Nicholas has a BCom (Financial Accounting) and ACCA Global certification. Nicholas has
extensive experience in financial management, risk management, operations management and
business development to name a few. Prior to joining TMF in 2015 Nicholas was employed at
Nolands as an Audit Supervisor. Nicholas has held various roles during his employment with TMF
and in 2022 Nicholas was appointed and the Managing Director. Nicholas currently represents TMF
on various client boards as an independent director, and chairperson on these board.


To provide further information on the newly appointed alternate directors, Rozanne holds an LLB
(Honours) and is an Admitted Attorney & Conveyancer. She possesses extensive experience in
contract management and legal compliance. Rozanne joined TMF in 2017 and is currently the CMS

Structured Finance Manager. She currently represents TMF on various client boards as an
independent director and chairperson on these boards. Sara qualified as a CA (SA) in 2009 and
started her career with EY. Sara joined SA Taxi in 2015 and she is currently the SA Taxi group
CFO.


The Board welcomes Bongiwe and Nicholas who join Marc and Richard as directors, and Rozanne
and Sara as alternate directors, and looks forward to benefiting from their collective expertise in
their respective roles.
