DELAY IN POSTING OF CIRCULAR TO SHAREHOLDERS
Transpaco shareholders (“Shareholders”) are referred to the SENS announcement released on 8
December 2022 wherein the Company announced that it had entered into a sale of shares agreement
with Samuel Abelheim Holdings (Pty) Limited (“Samco”), in terms of which Transpaco will repurchase
1 560 000 Transpaco ordinary shares from Samco (“the Specific Share Repurchase”).
The Specific Share Repurchase constitutes a specific repurchase from a related party in terms of
section 5 of the JSE Listings Requirements which is required to be approved by a special resolution by
Shareholders of the Company by way of a notice of general meeting included in the circular to be posted
to Shareholders (“Circular”).
Shareholders are hereby advised that the JSE has granted the Company an extension in relation to the
Circular being posted by no later than 22 February 2023.
Shareholders will be advised in due course of the salient dates and times relating to the Specific Share
Repurchase and the general meeting of Shareholders to be convened in order to consider and vote on
the resolutions required in respect of the Specific Share Repurchase.
