(“Nampak” or “the Company”)

PROPOSED ADJOURNMENT OF EXTRA-ORDINARY GENERAL MEETING

Shareholders are referred to the extra-ordinary general meeting (“the meeting”)
to be held electronically on Wednesday, 18 January 2023 at 09h00.

As a result of ongoing constructive discussions with a number of stakeholders,
the Nampak Board of Directors (the “Board”) believes that it would be
appropriate and in the best interests of the Company to adjourn the meeting, in
order to allow the Board and management an opportunity to progress discussions
with those stakeholders.

Accordingly, shareholders are advised that the Company intends to propose a
motion at the meeting to adjourn the meeting to 8 March 2023, or such other
date as agreed at the meeting.

As the motion to adjourn will require shareholder approval, shareholders are
encouraged to attend the meeting to ensure a quorum and support the motion to
adjourn.
