ANNOUNCEMENT ON THE RESULTS OF THE PROPOSED EXTRAORDINARY RESOLUTION OF THE HOLDERS OF
ALL CLASS A NOTES ISSUED IN RELATION TO TRANSACTION NO. 5 – TOWER INVESTMENTS (ZULULAND RENTAL
AGREEMENTS) ("Transaction No. 5")

1.   We refer to the notice delivered, in accordance with Condition 22.2.3 of the Terms and Conditions of the
     Notes, by the Issuer on 22 November 2022 to the holders of all the Class A Notes issued by the Issuer under
     the Programme in relation to Transaction No. 5 (“the Noteholders”), for purposes of passing an
     Extraordinary Resolution referred to below. The Extraordinary Resolution of the Noteholders were sought
     for purposes of making certain amendments to the Applicable Pricing Supplement in relation to the Class A
     Notes dated 29 November 2017 ("Applicable Pricing Supplement'). ?
2.   The Issuer has proposed the amendments to the Applicable Pricing Supplement, which was set out in the
     amended Applicable Pricing Supplement as attached to notice as Annexure A, to facilitate the recovery of
     the Sale Assets in relation to Transaction No. 5 -
     2.1. The Issuer is in process of taking the necessary steps to recover the amounts due from the Sale Assets
          in relation to Transaction No. 5;
     2.2. The timing of concluding on the recovery of the Sale Assets in relation to Transaction No. 5 will extend
          beyond the existing Final Redemption Date of the Class A Notes, henceforth the Issuer would require
          additional time to finalise the recovery process.
3.   Capitalised terms and expressions used herein and not otherwise defined herein, shall have the meanings
     ascribed to such terms and expressions in the programme memorandum issued by the Issuer in relation to
     the Programme dated 29 May 2015 (the "Programme Memorandum").
4.   EXTRAORDINARY RESOLUTION NO 1
     The Noteholders approved, and the Issuer be and is authorised to amend –
     4.1. the Applicable Pricing Supplement in accordance with the proposed amended Applicable Pricing
          Supplement; except for
     4.2. the new par 21 of the proposed amended Applicable Pricing Supplement, where the Final Redemption
          Date as referred to, is to be amended to 5 December 2023, instead of the proposed amendment date
          of 5 June 2023.
5.   In this regard, the Issuer confirms the results of the Extraordinary Resolution No 1 in relation to the total
     nominal amount of all the Class A Notes in relation to Transaction No. 5 as follows -
