NOTIFICATION OF CHANGES TO THE BOARD OF DIRECTORS AND BOARD COMMITTEES
Pursuant to paragraph 6.39 of the JSE Limited (the “JSE”) Debt Listings Requirements, noteholders are
hereby advised that Olivia van Gisbergen and Rishendrie Thanthony will resign as independent non-
executive directors from the board of iNguza (the “Board”) and as a member and the chair of the Audit
Committee respectively, with the effective date yet to be determined. The directors resigned due to
their internal promotions which required relocation and greater focus on their new responsibilities.
In order to ensure that the Issuer has sufficient independent non-executive directors on its board, Nick
Clarke and Richard Angus will subsequently be appointed as independent non-executive directors of
the Board and as a member and the chair of the Audit Committee respectively, with the effective date
yet to be determined.
A further announcement will be released once the effective date of the resignations and appointments
has been determined.
The board wishes to thank Olivia and Rishendrie for their support over the years and welcomes Nick
and Richard to the Board. The Board looks forward to their contribution to the Issuer.
