APPOINTMENT OF CHAIRMAN AND CHANGE TO THE BOARD OF DIRECTORS

In compliance with paragraphs 3.59 and 6.59 of the JSE Limited Listings and Debt Listings Requirements,
shareholders and noteholders are advised of the following changes to the Chairmanship as well as the board
of directors (“Board”) of Super Group, following the retirement Mr Phil Vallet at the AGM to be held on 29
November 2022:

APPOINTMENTS

Change to the Chairman of the Board

Following the Board meeting held on 30 September 2022, Super Group is pleased to announce the
appointment of Valentine Chitalu as Chairman of the Board, with effect from 1 December 2022. Valentine Is
currently the Lead Independent, non-executive Director and will assume the role when the current Chairman,
Mr Phil Vallet retires, as previously announced.


Appointment of an Independent non-executive Director to the Board

Jack Phalane MBA (University of the Witwatersrand), M.Com (South African and International Tax), LLM, BA
LLB, Certificate in Advanced Corporate Law and Securities has been appointed as an Independent non-
executive Director with effect from 30 September 2022.

Jack is a highly experienced commercial lawyer, specialising in disciplines such as mergers and acquisitions,
exchange control matters, corporate governance, telecommunications and broadcasting law. His international
and local client list encompasses all commercial sectors and includes both listed and non-listed companies.
Jack’s extensive knowledge of the Companies Act and the Broad-Based Black Economic Empowerment (B-
BBEE) Act sees him frequently advising clients on corporate and commercial transactions including the sale
of shares and businesses, shareholders agreements and B-BBEE transactions. He has acted as Tax
Chairperson adjudicating on income tax appeals lodged by taxpayers with the South African Revenue Service
for over 10 years.

Super Group further confirms that Jack's appointment was done in accordance with its Nominations Policy.

Super Group would like to congratulate Valentine as well as welcome Jack to the Board and looks forward to
their contributions.
