UPDATE ON THE COMPETITION AUTHORITIES’ APPROVAL PROCESS AND IMPACT ON
IMPORTANT DATES
Defined terms used in this announcement shall bear the meaning ascribed thereto in the Distell circular
dated 17 January 2022 (“Scheme Circular”), unless otherwise indicated.
Distell Shareholders are referred to the announcement released on SENS on 15 June 2022, advising that
Distell does not anticipate receipt of the approval of the Competition Authorities for the Transaction on or
before 30 June 2022, as contemplated in the important dates and times set out in the Scheme Circular.
On 9 September 2022 the Competition Commission of South Africa recommended that the Competition
Tribunal of South Africa (“Competition Tribunal”) approve the Transaction with conditions. The
Competition Tribunal has determined that its hearing to consider the Transaction will be held on 18 to 20
January 2023. Accordingly, as the important dates and times of the Scheme are subject to the required
regulatory approvals and timelines, implementation of the Scheme cannot occur until the Competition
Tribunal has ruled on the Transaction, in respect of which the hearing has been scheduled for January
2023.
A further announcement, setting out the revised important dates and times of the Scheme, will be made
in due course.
