Board committee changes
Shareholders are advised that the board of directors (“Board”) has appointed Dr Humphrey
Mathe, the current chairman of the Board and an independent non-executive director, as the
Chairperson of the Project and Investment Committee, with effect from 1 October 2022. He
replaces Ms Kabela Maroga, who has been appointed as the Group CFO with effect from 1
October 2022, as the chairperson of this Committee. From 1 October 2022, the Committee
will comprise the following members: Dr Humphrey Mathe (chairperson and independent non-
executive director), Mr Cecil Maswanganyi (non-executive director), Ms Zukie Siyotula (lead
independent non-executive director), Ms Kabela Maroga (ex officio, in her capacity as Group
CFO) and Mr Robinson Ramaite (ex officio, in his capacity as Group CEO).
Due to her appointment as Group CFO, Ms Maroga has resigned from the Remuneration and
Nomination Committees with effect from 30 September 2022. With effect from 1 October
2022, these committees will comprise the following members:
Nomination Committee: Ms Zukie Siyotula (chairperson, lead independent non-executive
director), Ms Nomavuso Mnxasana (independent non-executive director), and Dr Humphrey
Mathe (independent non-executive director).
Remuneration Committee: Ms Nomavuso Mnxasana (chairperson and independent non-
executive director), Ms Zukie Siyotula (lead independent non-executive director), Dr
Humphrey Mathe (independent non-executive director) and Mr Eric Mzimela (non-executive
director).
All board committees remain duly constituted.
