SUSPENSION OF LISTING
1. The JSE refers to its announcement of 15 July 2022 informing the market that the Issuer has failed
to submit its provisional report within the three-month period stipulated in the JSE's Listings
Requirements.
2. The JSE has carefully considered the Issuer’s request to suspend its securities in terms of section
1.10 of the Listings Requirements and is of the view and has decided that the submissions made
by the Issuer do not satisfy the requirements set out in section 1.10. In these circumstances the
JSE has decided not to suspend the listing of Tongaat’s securities at the request of the Issuer.
3. The JSE has informed the Issuer that the listing of its securities is under threat of suspension due
to:
a. its failure to comply with section 3.16 and 3.17 of the Listings Requirements in respect of
the timeous publication and dissemination of provisional results and the fact that the
Issuer has confirmed that it is unable to comply by 30 July 2022; and
b. the fact that the Issuer has confirmed that it is unable to comply with section 3.19 and
3.23 of the Listings Requirements in that it will not publish its annual integrated report on
the due date, it being by 30 July 2022.
4. The JSE has provided the Issuer with reasons for the proposed suspension and has called on the
Issuer to show cause as to why its securities should not be suspended. In its response, the Issuer
did not advance any reasons or show cause why its securities should not be suspended, and the
Issuer confirmed that it had “no objection” to the proposed suspension of the listing of the Issuer’s
securities.
5. The JSE has carefully considered all the facts and information at its disposal and has decided to
suspend the listing of the Issuer’s securities in terms of section 1.12 of the Listings Requirements,
read with section 12 of the Financial Markets Act. The listing of the securities of the Issuer is
suspended due to the Issuer’s failure and/or inability to comply with important provisions of the
Listings Requirements, because it will further one or more of the objects of the Financial Markets
Act and because it would be in the public interest to do so.
6. The listing of the Issuer’s securities will be suspended with effect from the commencement of
trading on Wednesday 20 July 2022.
