Informative Notice – 20220510 BHP Group Distribution of Woodside Petroleum Informative Notice UPDATED BHP Group Ltd (South Africa): Distribution of Woodside Petroleum Ltd (Australia) Informative Notice (FTSE/JSE Africa Index Series) Updated The terms have been updated to reflect the correct ratio. 10 May 2022 FTSE/JSE notes the announcement by BHP Group Ltd (AU000000BHP4, FTSE/JSE Top 40 Index) relating to the distribution of shares that will be issued in Woodside Petroleum Ltd (AU000000WPL2) to their shareholders. In the distribution, eligible South African resident BHP Group Ltd shareholders can elect to receive one 5.5340 Australian Securities Exchange listed Woodside Petroleum share for every 5.5340 one shares held. South African resident shareholders who do not elect will be deemed to be Ineligible Overseas Shareholders incapable of holding the Woodside Petroleum Ltd shares and will instead receive cash proceeds through a share sale facility, whereby the share entitlement will be sold on their behalf and sale proceeds may take up to 12 weeks to distribute. BHP Group Ltd is expected to trade ex- entitlement to the distribution on Tuesday 24 May 2022. Based on the current timetable, FTSE/JSE intends to assume non-election and implement the event as a capital repayment on the ex-date, with the amount based on the Australian Securities Exchange Woodside Petroleum Ltd close price, converted using the 4pm WM rate on the cum date (i.e. from Monday 23 May 2022).
