The SBK23 Notes are subject to the terms and conditions contained in the Programme Memorandum dated 25 November 2014 (the “Programme Memorandum”) as read together with the Applicable Pricing Supplement issued in respect of the SBK23 Notes dated 25 May 2015 (the “Applicable Pricing Supplement”).
