APPOINTMENT OF CHAIRMAN DESIGNATE OF THE GROUP BOARDS AND NOMINATIONS COMMITTEE

In compliance with paragraph 3.59 of the JSE Limited (“JSE”) Listings Requirements
and paragraph 6.39 of the JSE Debt Listings Requirements and further to the
announcement released on the Stock Exchange News Service on 25 October 2021 in
relation to the resignation of Mr Matthews Sello Moloko, the Group is pleased to
announce the appointment of Mr Paul Cambo Baloyi as an independent non-executive
director of both MMH and MML, Chairman designate of the Group Boards, and member of
the Group’s Nominations Committee, with effect from 8 April 2022.

Mr Baloyi will take over as Chairman of the MMH and MML Boards, as well as Chairman
of the Group’s Nominations Committee, with effect from 1 July 2022, from Mr Peter
Cooper, who has been fulfilling these roles in the interim.

Mr Baloyi is a seasoned leader with extensive experience in the financial services
industry, gained from many years as an executive and board member, both locally and
internationally. His experience includes that of board chairman and member of board
committees, with core expertise in risk, strategy, corporate governance, corporate
finance and financial engineering, and a proven record as a leader in diverse and
complex organisations.   An MBA graduate from Bangor University, United Kingdom,
Mr Baloyi also completed various business courses, including an advanced management
program from Insead and a senior executive program from Harvard.

These appointments are made in accordance with the Group Nomination and Evaluation
of Directors Policy and have been approved by the Prudential Authority.


The Boards welcome Mr Baloyi and look forward to his leadership.
