BRAIT INVESTMENT HOLDINGS LIMITED ISSUE OF UP TO ZAR3,000,000,000
5.00% SENIOR UNSECURED EXCHANGEABLE BONDS DUE 2024 - EXECUTION
OF ANCILLARY DOCUMENTATION
BIH today announces that in connection with its issuance of up to ZAR3,000,000,000 5.00% senior
unsecured exchangeable bonds due 2024 (the “Exchangeable Bonds”), the following ancillary
documents have been executed:
(i) a deed poll dated 13 December 2021 between Brait PLC (the ”Parent”) and the Issuer,
detailing the obligations of the Parent in respect of the Exchangeable Bonds;
(ii) an agency deed (the “Bondholder Representative Deed”) dated 13 December 2021
between the Issuer and Vanessa Ramdonee, whose registered address for the time being
is at 6th floor, Labama House No. 35, Sir William Newton Street, Port Louis, Mauritius, as
bondholder representative for the holders of the Exchangeable Bonds;
(iii) a paying and transfer agency agreement dated 13 December 2021 between the Issuer, Rand
Merchant Bank, a division of FirstRand Bank Limited, in its capacity as paying agent and
Computershare Investor Services (Proprietary) Limited in its capacity as transfer agent in
respect of the Exchangeable Bonds;
(iv) an exchange agency agreement dated 13 December 2021 between the Issuer and Rand
Merchant Bank, a division of FirstRand Bank Limited, in its capacity as exchange agent; and
(v) a calculation agency agreement dated 13 December 2021 between the Issuer and Conv-Ex
Advisors Limited in its capacity as calculation agent.
The Bondholder Representative Deed will be available for inspection from 13 December 2021 at the
registered office of BIH, being Suite 420, 4th Floor, Barkly Wharf, Le Caudan Waterfront, Port Louis,
Mauritius.

It is anticipated that the listing of the Exchangeable Bonds on the exchange operated by the JSE
Limited will be effective as from Tuesday 14 December 2021.
