CAUTIONARY ANNOUNCEMENT – IMMINENT BOARD RESTRUCTURE AND
RECAPITALISATON, CHANGE IN DESIGNATED ADVISOR AND COMPANY SECRETARY
Shareholders are advised that Nutritional Holdings is currently undergoing a board
restructuring which will include resignations and new appointments and is also
expected to result in the injection of additional funding into the group and a new
strategy. The first appointment was announced on 1 September 2021. The planned
restructure has also resulted in a request to change the Designated Advisor and
Company Secretary.
In accordance with paragraph 2.6A(a) and paragraph 3.59(b) of the JSE Limited
Listings Requirements, Nutritional Holdings shareholders are advised that the
Company has terminated the services of AcaciaCap Advisors (Pty) Limited as
Designated Advisor and Light Consulting (Pty) Ltd as Company Secretary to the
Company respectively, with immediate effect.
The Company has appointed Acorim Proprietary Limited as Company Secretary and
Merchantec Proprietary Limited as its Designated Advisor with immediate effect.
Shareholders are accordingly advised to exercise caution when dealing in the
Company’s securities until a further announcement in respect of the board
restructuring and recapitalisation is made.
