UNDER THE ISSUER'S ZAR4,000,000,000 ASSET BACKED NOTE PROGRAMME
DATED 5 APRIL 2019 ("PROGRAMME MEMORANDUM")

A. NOTICE


Noteholders are referred to the notice of the meeting of the
holders of all of the Notes, issued under the Issuer's
ZAR4,000,000,000 asset backed note programme memorandum dated 5
April 2019 ("Programme Memorandum"), dated 10 June 2021 ("Notice
of Meeting").

Capitalised terms and expressions used in this notice and not
otherwise defined in this notice, shall have the meanings
ascribed to such terms and expressions in the Programme
Memorandum.

Pursuant to the Notice of Meeting, a meeting of Noteholders was
held on 5 July 2021, at 10h00 at the office of Quadridge
Intembeko Proprietary Limited, 1st Floor, 32 Fricker Road,
Illovo, pursuant to which the Noteholders approved the amendment
of –

  1. item 13 of each of the Class A5, Class A6, Class B4,
    Class B5, Class C4 and Class C5 Applicable Pricing
    Supplements currently in issue;

  2. item 15 of each of the Class A5, Class A6, Class B4,
    Class B5, Class C4 and Class C5 Applicable Pricing
    Supplements currently in issue; and

  3. Condition 7.3.1 of the Conditions in relation to each of
    the Notes currently in issue.

The above amendments were approved by the passing of Special
Resolutions by Noteholders holding 99.80% of the Principal
Amount Outstanding of the Notes represented by proxy.
