CHANGE TO THE BOARD OF DIRECTORS OF KAP

In accordance with paragraph 6.39 of the Debt Listings Requirements, noteholders are hereby
advised that Mrs Tamara Esau-Isaacs (44) has been appointed to the KAP Board as an
independent non-executive director, with effect from 30 June 2021. Tamara has also been
appointed as a member of both the Company’s social & ethics committee and the audit & risk
committee, with effect from 30 June 2021. These appointments are subject to shareholders’
confirmation at the Company’s next Annual General Meeting.

Tamara holds a CA(SA) qualification, having started her career at PricewaterhouseCoopers
where she ascended to the position of audit partner and also served as the human capital
partner for three years. She later joined KPMG and served as the partner in charge of
management consulting at their Cape Town office and was a member of the KPMG Consumer
Markets forum. She has over 18 years’ professional experience and currently consults
independently, specialising in strategy design and implementation at an organisational level.
Tamara serves as an independent non-executive director on the board of PSG Konsult Limited,
where she is also a member of the audit, social & ethics and risk committees. In addition, she
was recently appointed chairperson of the University of Cape Town’s School of Accounting
Advisory Board.

Tamara has a strong social-upliftment background, having served in the Michael and Susan Dell
Foundation and having maintained strong involvement in various community-related projects
over several years.

In terms of its succession plan, the KAP Board has identified a need for a new competent
director with fresh perspectives to join the KAP Board in order to maintain continuity on the
Board in anticipation of planned retirements of long-serving directors later in the new financial
year. The appointment has been made in terms of KAP’s nomination policy and with due
consideration of the Board Diversity policy guidelines.

The KAP Board is pleased with the appointment of Tamara and looks forward to her contribution
and to the fresh insights she is anticipated to bring to KAP Board and committee deliberations.
