Notification of change in external auditors Dis-Chem Pharmacies Limited (Incorporated in the Republic of South Africa) (Registration number 2005/009766/06) JSE share code: DCP ISIN: ZAE000227831 (“Dis-Chem” or the “Company”) NOTIFICATION OF CHANGE IN EXTERNAL AUDITORS In terms of paragraph 3.78 of the JSE Limited Listings Requirements, shareholders are advised that, following the conclusion of a comprehensive tender process, the Audit and Risk Committee has recommended, and the board of directors has endorsed, the proposed appointment of Mazars as the external auditors of Dis-Chem with Mr. S Ranchhoojee as the designated individual audit partner effective for the financial year ending 28 February 2022. The change in external auditors is in alignment with the principles of good governance and early adoption of mandatory audit firm rotation, whereby audit firms shall not serve as the appointed auditor of a public interest entity for more than 10 consecutive years, with effect from 01 April 2023. An ordinary resolution proposing the appointment of Mazars as external auditors of the Company will be incorporated in the Notice of Annual General Meeting distributed to the shareholders on Wednesday, 30 June 2021. Ernst & Young Inc. (“EY”) appointment as external auditors will end on conclusion of its responsibilities relating to the audit of the financial year ended 28 February 2021, which is expected to be concluded at or about the end of June 2021. Mazars appointment as external auditors will be effective immediately after EY’s appointment concludes, subject to shareholder approval at the Annual General Meeting to be held at 10h00 on Friday, 30 July 2021.
