ENGAGEMENT WITH SHAREHOLDERS ON REMUNERATION POLICY

As stated in our SENS issued on 27 May 2021, the Company wishes to
engage with shareholders following the vote on the non-binding
advisory resolution 5.1 at the Company’s Annual General Meeting held
on 27 May 2021 where shareholders exercising 31.95% of the voting
rights exercise, voted against the resolution.

Shareholders   are   invited   to   raise   their   concerns   and/or
recommendations on the Company’s remuneration policy using one of the
following methods:
  •   Writing to our Group Secretary, Zola Stephen, at the email
      address below by no later than close of business on 11 June 2021.

  •   By participating in a video/telephone conference with our Group
      Chairman, Thulani Gcabashe, and the Chairman of our Group
      Remuneration Committee, Trix Kennealy. Shareholders who wish to
      request participation in such a video/telephone conference
      should write to our Group Secretary Zola Stephen at the email
      address below by no later than close of business on 11 June 2021.


In addition to the above, we will also consider the recent submissions
by shareholders who have already provided us with reasons for their
dissenting vote.
