CHANGE IN THE BOARD OF DIRECTORS

Pursuant to the transfer of Brait’s registered office from Malta to Mauritius (the “Redomiciliation”) and
as guided in related announcements published on the website of the Luxembourg Stock Exchange
(“LuxSE”) and released on the Stock Exchange News Services (“SENS”) of the Johannesburg Stock
Exchange (“JSE”), Dr Lawrence Porter, resident in Malta, has resigned from the Board of Directors of
Brait (“Board”) with effect from 18 May 2021. The Board extends their appreciation to Dr Porter for his
contribution during his tenure as an Independent Non-executive Director since 28 May 2013, which
included membership, at various times, on the Board’s Remuneration, Nomination and ESG
committees.

The Board would like to extend its welcome to Michael Dabrowski who has been appointed to the
Board as an Independent Non-executive Director and a member of the ESG committee with effect
from 18 May 2021.

Residing in Mauritius, Mr Dabrowski is an executive director of Maitland (Mauritius) Limited
(“Maitland”), a position he has held since 2017, and is responsible for leading the effective service
delivery of fiduciary and corporate services provided. Prior to joining Maitland, Mr Dabrowski was
Chief Operating Officer of fund manager Afena Capital (12 years) during which time he facilitated the
establishment of that firm and its then Botswana subsidiary. He started his career at the
Johannesburg office of KPMG, where his focus was short-term insurance, stockbroking and banking
and he has experience working in South Africa, Botswana, the UK and Mauritius. He is a non-
executive director of a number of private companies. He is a CA(SA), CGMA, ACMA and holds an
Executive MBA.
