CAUTIONARY ANNOUNCEMENT


The board of directors of Afristrat (“Board”) is pleased to advise shareholders that the Company has
entered into discussions to acquire 100% of the shareholding in MHMK Financial Services Limited
(‘MHMK”), which is a related party of Afristrat.

MHMK is a financial services investment holding company that is controlled by Afristrat’s CEO, Mr George
Manyere. MHMK invests and operates various businesses that are active in microfinance, fintech and
investment banking, primarily in the southern African region. The acquisition is expected to provide Afristrat
with access to a quality portfolio of high-growth potential companies, with operations across seven
jurisdictions. The acquisition will also provide access to two publicly listed funding instruments, which
together with operational cash flows, are expected to provide cash flows to support the working capital of
the Group.

Accordingly, shareholders are advised to exercise caution when dealing in the Company’s securities until a
further announcement is made.
