Notification of mandatory audit firm rotation for the financial year ending 30 June 2022

KAP INDUSTRIAL HOLDINGS LIMITED
(Incorporated in the Republic of South Africa)
(Registration number: 1978/000181/06)
JSE alpha code: KAP
(“KAP” or “the Company”)

NOTIFICATION OF MANDATORY AUDIT FIRM ROTATION FOR THE FINANCIAL YEAR
ENDING 30 JUNE 2022

In accordance with the Debt Listings Requirements of the JSE Ltd (“JSE”) noteholders are hereby
advised that, following the conclusion of a comprehensive and closely contested tender process,
the KAP audit and risk committee has recommended, and the KAP board of directors has
endorsed, the proposed appointment of KPMG as the external auditor of the Company for the
financial year ending 30 June 2022.

Deloitte & Touche (“Deloitte”) will continue to serve as KAP’s external auditor in respect of the
current financial year ending 30 June 2021.

The early adoption of the mandatory audit firm rotation process and change in external auditor
was amicably agreed between KAP and Deloitte to correspond with the five-year rotation of the
existing lead audit engagement partner, Dr Dirk Steyn. The timely decision in respect of the
change will afford KAP the opportunity to minimise the risks and disruptions of the transition to a
new auditor.
