Airports Company South Africa announces the possible Sale of Shares
in MIAL and GRUPAR.


Noteholders are hereby advised that Airports Company South Africa
received indicative offer from Adani for the 10% shareholding in
Mumbai International Airport Private Limited “MIAL” under the same
conditions as the initial offer, with the exception of the
following conditions:

  •   Reduction in the offer price
  •   Extension of the long stop date to 31 December 2020
  •   Cessation and/or waiver of all existing and           pending
      arbitration and/or court rulings by the Parties


Noteholders are also advised that the company received a non-
binding   indicative   offer   to  formalise   the   interest   of
Investimentos e Participações em Infraestrutura S.A - “Invepar” to
acquire the totality of ACSA’s equity ownership in Aeroporto de
Guarulhos participações S.A “Grupar”, representing 20% of the
total outstanding and voting of GRUPAR. The offer is under
consideration.

Further information to be provided as and when there are further
material developments relating to the transactions.
