Publication Of 2019 Annual Financial Statements

Holders were advised through a SENS announcement released on 30
April 2020 that the Issuer had published its 2019 Annual
Financial Statements (“the AFS”) for the year ended 31 December
2019. The AFS contained an unqualified audit report.

Further to the abovementioned SENS announcement, the Issuer
would like to inform Noteholders of the statement made in the
AFS regarding the effect of the COVID-19 pandemic. The Issuer
and JPMorgan Chase & Co. are monitoring the development of the
pandemic and evaluating its impact on the financial position and
operating results of the Issuer. As at the date of the AFS, as
the situation is ongoing and eventual outcome unknown, the
Issuer cannot quantify the final impact of the financial
position or operations as a result of the COVID-19 pandemic. The
Independent Audit Opinion on the matter by the Auditor was not
modified in respect of this matter.
