KG, a wholly owned subsidiary of Imperial, had entered into an agreement with Häfen und Güterverkehr Köln AG, Cologne, Germany for the sale of its interest in its European shipping business to the Purchaser (“the Transaction”). Shareholders are also referred to the Results of General Meeting announcement released on SENS on 18 June 2020 which provided the full details of the results of General Meeting of Shareholders held for the purposes of approving the Transaction, and to the announcement released on SENS on 30 June 2020 which provided an update on the fulfilment of the outstanding conditions precedent to the Transaction. Shareholders are hereby advised that all the conditions precedent relating to the Transaction have now been fulfilled and the Transaction will be implemented on 31 July 2020.
