UPDATE ON THE AVAILABILITY OF THE GUARANTORS ANNUAL FINANCIAL STATEMENTS
Noteholders are referred to the second market notice issued on 29 May 2020 by the Financial Services Conduct
Authority (“FSCA”), wherein, as a result of the COVID-19 pandemic and resultant nationwide lockdown, the FSCA
granted companies with debt listed on the Interest Rate Market of the JSE Limited and who have financial year ends
of 29 February 2020, 31 March 2020 and 30 April 2020, an extension of two months by which to comply with the
various reporting timeframes as provided for in the Debt Listings Requirements (the “FSCA Extension”).
The JSE Debt Listings Requirements stipulates that the audited annual financial statements of the guarantors to the
notes, being HPF Properties Proprietary Limited, Merway Fifth Investments Proprietary Limited, Fezisource Proprietary
Limited and The Cullinan Hotel Proprietary Limited (collectively the “Guarantors”), must be available at the registered
office of the issuer and a notice of availability announcement must be released within four months after the relevant
Guarantor’s financial year end.
Due to the constraints placed on the Issuer because of the COVID-19 pandemic and resultant nationwide lockdown,
noteholders are advised that the Issuer will be relying on the FSCA Extension for the publication and availability of each
of the Guarantors audited annual financial statements for the year ended 31 March 2020.
Accordingly, Hospitality expects to make the Guarantors audited annual financial statements for the year ended 31
March 2020 available at the registered office of the Issuer on or about 31 August 2020, but in any event by no later
than 30 September 2020.
