BITOY - Update on the availability of the Guarantor’s Annual Financial Statements Toyota Financial Services (South Africa) Limited (Incorporated in the Republic of South Africa) (Registration No. 1982/010082/06) Company code: BITOY (“Toyota Financial Services” or the “Issuer”) UPDATE ON THE AVAILABILITY OF THE GUARANTOR’S ANNUAL FINANCIAL STATEMENTS Noteholders are referred to the second market notice issued on 29 May 2020 by the Financial Services Conduct Authority (“FSCA”), wherein, as a result of the COVID-19 pandemic and resultant nationwide lockdown, the FSCA granted companies with debt listed on the Interest Rate Market of the JSE Limited (the “Interest Rate Market”) and who have financial year ends of 29 February 2020, 31 March 2020 and 30 April 2020, an extension of two months by which to comply with the various reporting timeframes as provided for in the Debt Listings Requirements (the “FSCA Extension”). The JSE Debt Listings Requirements requires that the audited annual financial statements of the guarantor to the notes listed on the Interest Rate Market, being Toyota Motor Finance (Netherlands) B.V. (“Guarantor”), be available at the registered office of the Issuer and a notice of availability announcement be released within four months after the Guarantor’s financial year end. Due to the Guarantor filing for a 1-month extension on the submission of their annual financial statements in their country of incorporation, noteholders are advised that the Issuer will be relying on the FSCA Extension for the publication and availability of the Guarantor’s audited annual financial statements for the year ended 31 March 2020. Accordingly, Toyota Financial Services expects to make the Guarantor’s audited annual financial statements for the year ended 31 March 2020 available at the registered office of the Issuer on or before 31 August 2020. 27 July 2020 Debt Sponsor RAND MERCHANT BANK (A division of FirstRand Bank Limited) Date: 27-07-2020 04:41:00 Produced by the JSE SENS Department.
