EXTENSION OF TIME FOR POSTING OF CIRCULAR
Shareholders are referred to the announcement released on SENS and the website of the Stock Exchange
of Mauritius Ltd (“SEM”) on 30 April 2020 advising that the JSE Limited (“the JSE”) had approved the
extension of the posting of the circular in respect of the Primark Store at Cooper’s Square Shopping Centre
(the “Circular”).
Due to substantial delays, partly due to the COVID-19 lockdown, the Company is still in the process of finalising
the appointments of the independent property valuer, which is based in the UK, and the reporting accountant
who is required to prepare reports on the pro forma financial information and the historical financial information
of the property. As a result, the Circular will not be completed in time to meet the requirements of paragraph
9.20(b) of the JSE Listings Requirements and will not be posted to shareholders within the extended time frame
of 22 June 2020.
Accordingly, the JSE has approved a further extension until 31 July 2020 for the completion of the Circular.
Shareholders are reminded that the transaction constitutes an undertaking in the ordinary course of business
of New Frontier and therefore does not fall under the scope of Chapter 13 of the SEM Listing Rules. However,
the transaction is a Category 1 transaction in terms of the JSE Listings Requirements and, accordingly, requires
shareholder approval.
New Frontier holds primary listings on both the Official Market of the SEM and the Alternative Exchange
of the JSE.
